一、条款的接受1. Acceptance of Terms

访问或使用古董圈（gudong.app，下称"平台"），即表示您已阅读、理解并同意受本条款约束。如您不同意本条款的任何内容，请停止使用本平台。

By accessing or using Gudong (gudong.app, the "platform"), you acknowledge that you have read, understood and agreed to be bound by these Terms. If you do not agree with any part of these Terms, please stop using the platform.

二、平台性质2. Nature of the Platform

平台仅为藏品信息的展示与发现提供技术服务，不是交易方、中介、拍卖行或托管人：

The platform is a technical service for displaying and discovering listing information. It is not a party, intermediary, auction house or escrow agent to any transaction:

• 平台不鉴定藏品真伪、年代或价值，页面展示的价格、年代、描述均由卖家提供或申报，不代表平台的立场或担保；
• We do not authenticate the authenticity, age or value of any item. Prices, era descriptions and listing copy are provided or declared by sellers and do not represent the platform's views or guarantees;
• 平台不代收买卖双方的任何款项、不参与议价、不介入买卖双方的纠纷；
• We do not process any payments between buyers and sellers, participate in price negotiation, or mediate disputes between buyers and sellers;
• "今日发现""精选展示"等栏目为人工筛选或付费曝光服务，仅代表展示安排，不构成任何推荐、鉴定或保真承诺。
• Sections such as "Today's Finds" and "Featured Listings" reflect editorial curation or paid-exposure arrangements only, and do not constitute endorsement, authentication or any guarantee of authenticity.

三、卖家规则与背书承诺（《卖家背书与免责协议》Consignor Agreement）3. Rules for Sellers & Consignor Commitments (Consignor Agreement)

卖家在刊登藏品或委托平台提供图片精修、建档、展示等服务时，勾选表单“我已阅读并同意《卖家背书与免责协议》”即代表您完全阅读、理解并同意受本节全部条款约束。

When listing items or commissioning platform services such as image retouching, archiving and display, ticking the form checkbox “I have read and agree to the Consignor Agreement” confirms you have fully read, understood and accept all clauses within this section.

权属与真实性承诺：您保证对提交刊登的藏品拥有合法所有或处分权利，承诺向平台提供的藏品全部信息（年代、来源、描述、图片等）均真实、准确、完整。藏品真伪、来源产生的买卖双方纠纷，由买卖双方自行协商调解或通过司法途径解决。平台不参与买卖交易、不对卖家申报的藏品信息、真伪、价值做任何担保。

Ownership & Authenticity Commitment: You warrant that you lawfully own or hold the right to dispose of items you submit for listing. All information you submit to the platform including era, provenance, descriptions and images shall be true, accurate and complete. Any dispute arising from item authenticity or provenance shall be resolved directly between buyer and seller via negotiation or legal proceedings. The platform does not participate in any transaction and provides no warranty as to authenticity, value or accuracy of seller-submitted content.

授权拍摄与展示：您授予平台一项免费、非独占、全球范围内许可：可对藏品图片做优化、生成藏品档案，在 gudong.app 及平台相关渠道公开展示；该授权在藏品公开展示期间持续有效。您确认该授权不会侵害任何第三方著作权、肖像权及其他合法权益。

Authorization for Photography & Display: You grant the platform a free, non-exclusive, worldwide licence to optimise item images, create archives and publicly display listings on gudong.app and related platform channels for the duration of publication. You confirm such licence will not infringe third-party copyright, image rights or other lawful interests.

• 您保证刊登藏品不涉及被盗文物、走私文物、各国法律禁止流通物品，藏品刊登行为遵守新加坡法律以及您本人所在司法辖区全部法律法规；
• You warrant listed items shall not comprise stolen, smuggled cultural relics or goods prohibited for trade. Your listings shall comply with laws of Singapore and your local jurisdiction;
• 刊登内容不得侵犯任何第三方知识产权、名誉权、财产权益；
• Your listings must not infringe third-party intellectual-property, reputation or property rights;
• 您理解付费服务仅提供线上信息曝光、建档服务，平台不保证询盘、咨询、交易成交结果。
• You understand paid-services are limited to online exposure and archiving; no enquiries or sales outcome is guaranteed.

损失补偿：如因您提交的藏品、刊登内容、违反本协议承诺，导致平台、平台运营方、员工遭受第三方索赔、诉讼、行政调查，您承诺全额补偿平台全部损失，包括赔偿金、诉讼费、律师费、公证费、维权开支。平台有权在收到相关投诉后临时下架您全部藏品，无需提前通知。

Indemnification: If any claim, lawsuit or regulatory investigation arises against the platform, its operator or staff due to your submitted items, listings or breach of these consignor commitments, you agree to fully indemnify and hold harmless the platform for all losses including damages, legal-fees, notarial-costs and enforcement expenses. The platform may temporarily take down your listings upon receiving complaints without prior notice.

四、付费服务与退款4. Paid Services & Refunds

平台提供的付费服务（刊登费、首页推荐、私家藏馆年费、专家视频咨询、委托找货等）均为线上信息服务，价格以价格页（pricing.html）公布为准。

Paid services (listing fees, homepage features, Private Gallery annual fee, expert video consultation, sourcing service, etc.) are online information services. Prices are published on our Pricing page (pricing.html).

• 刊登费、首页推荐费、私家藏馆年费：服务开通后不予退还；如因平台原因未能提供约定服务，按未履行天数比例退款。
• Listing fees, homepage feature fees and Private Gallery annual fees: non-refundable once the service is activated. If we fail to provide the agreed service for reasons attributable to us, a pro-rata refund will be issued;
• 专家视频咨询：预付 S$188 服务费；平台根据客户要求完成并部署上线后（如完成专家匹配、发送视频通话链接），费用不予退款。
• Expert Video Consultation: the S$188 prepaid service fee is non-refundable once the platform has completed and delivered the requested service (e.g. once the expert has been assigned and the video-call link has been sent);
• 委托找货：预付 SGD 280 基础服务费在任何情况下不予退还（已投入人工找货成本）；保证金在未成交时全额退还，成交后转为服务费不予退还。
• Sourcing Service: the SGD 280 base fee is non-refundable in all circumstances (manual sourcing work has been performed). The deposit is fully refunded if no sale occurs, and converts to a service fee upon completion, non-refundable thereafter;
• 退款申请：请发邮件至 contact@gudong.app，我们将在 14 个工作日内处理。
• Refund requests: email contact@gudong.app; we will process within 14 business days.

本条款不排除、不限制您依据新加坡《消费者保护（公平交易）法》享有的法定权利。

Nothing in these Terms excludes or limits your statutory rights under the Consumer Protection (Fair Trading) Act of Singapore.

五、个人数据5. Personal Data

我们依据新加坡《个人数据保护法》（PDPA）收集、使用与保护您的个人数据。详情请参阅《隐私政策》。向平台提交信息即表示您同意我们按该政策处理您的数据。

We collect, use and protect your personal data in accordance with Singapore's Personal Data Protection Act (PDPA). For details, please refer to our Privacy Policy. By submitting information to the platform, you consent to our processing of your data in accordance with that policy.

您有权依照新加坡《个人数据保护法（PDPA）》向我们申请查阅、更正您存储在平台的个人资料，或撤回您此前授予的数据处理同意，具体操作方式参阅隐私政策。如发生个人数据泄露事件，平台将依照PDPA法规履行对应的通知义务。

You may request access, correction or withdraw your consent for personal-data processing under Singapore PDPA, please refer to our Privacy Policy. In case of personal-data-breach, platform shall comply with PDPA notification obligations.

六、买家须知6. Notice for Buyers

购买古董及收藏品具有固有风险。在下单或付款前，您应自行核实藏品信息、要求实物查验、确认卖家身份，并以您认可的安全方式完成交易。平台不提供任何付款渠道或资金托管，请勿将平台视为交易担保。

Buying antiques and collectibles carries inherent risk. Before making any payment, you should verify listing details, inspect the item in person where possible, confirm the seller's identity, and complete the transaction through a method you deem safe. The platform provides no payment channel or escrow — do not treat the platform as a transaction guarantee.

七、使用规范7. Acceptable Use

使用平台时，您承诺不：

When using the platform, you agree not to:

• 发布虚假、侵权或违法信息，或利用平台从事诈骗；
• Publish false, infringing or unlawful information, or use the platform for fraud;
• 以技术手段干扰平台运行，或批量抓取平台数据用于商业用途；
• Interfere with the platform's operation by technical means, or scrape platform data in bulk for commercial use;
• 未经他人同意收集、使用其他用户的联系信息。
• Collect or use other users' contact information without their consent.

违反上述规范的，平台有权不经通知删除相关内容并限制其访问。

We may remove offending content and restrict access without prior notice if these rules are breached.

八、知识产权8. Intellectual Property

平台整体设计、标识与文字内容（用户提交内容除外）的知识产权归平台运营方所有。用户提交的藏品图片与描述，其著作权仍归原权利人所有；您提交即授予平台在运营及推广本平台所必需范围内免费展示该内容的许可。

The platform's overall design, logos and original text (excluding user-submitted content) are owned by the platform operator. Copyright in user-submitted images and descriptions remains with the original rights holder. By submitting content, you grant the platform a free licence to display it to the extent necessary for operating and promoting the platform.

九、责任限制9. Limitation of Liability

在法律允许的最大范围内，平台"按现状"提供，不对藏品信息的真实性、准确性、完整性作任何明示或默示的担保；对因使用或无法使用平台、依赖平台信息、与卖家或买家进行交易所造成的任何直接或间接损失（包括但不限于财产损失、机会损失），平台不承担责任。

To the maximum extent permitted by law, the platform is provided on an "as is" basis without any express or implied warranty as to the truthfulness, accuracy or completeness of listing information. We shall not be liable for any direct or indirect loss (including but not limited to financial loss or loss of opportunity) arising from use of or inability to use the platform, reliance on platform information, or transactions with sellers or buyers.

本条不排除、不限制以下不可依法排除的责任：（a）因平台重大过失或故意行为导致的损失；（b）因平台违反《消费者保护（公平交易）法》或《不公平合同条款法》所产生且不可排除的责任；（c）法律明文规定不可排除的其他责任。

Nothing in this clause excludes or limits: (a) liability for losses caused by our gross negligence or wilful misconduct; (b) liability arising from our breach of the Consumer Protection (Fair Trading) Act or the Unfair Contract Terms Act that cannot lawfully be excluded; (c) any other liability that cannot be excluded by law.

在法律最大允许范围内，平台就全部与本平台使用相关索赔，全部累计赔偿上限为：若您向平台支付过服务费，则为过去12个月内您实际向平台支付的服务总金额；从未付费用户，最高赔偿限额为新币 SGD100。本限额不适用于法律不允许限制责任的情形，包含平台欺诈、重大过失、故意不当行为。

To maximum extent permitted under applicable law, aggregate total liability of the platform for all claims arising out of platform-use shall be capped at: total fees you paid to platform within preceding 12 months; for non-paying users the cap is SGD100 Singapore Dollars. This cap shall not apply for liability which cannot be lawfully limited, including fraud, gross-negligence or wilful misconduct of platform.

十、适用法律与争议解决10. Governing Law & Dispute Resolution

本条款受新加坡法律管辖并按其解释。因本条款或平台使用产生的任何争议，双方应先行友好协商；协商不成的，提交新加坡有管辖权的法院解决。

These Terms are governed by and construed in accordance with the laws of Singapore. Any dispute arising out of these Terms or the use of the platform shall first be resolved through friendly negotiation; failing that, it shall be submitted to the courts of Singapore with jurisdiction.

十之一、双语文本效力10A Bilingual Text Priority

本页面同时提供中文、英文版本。如中英文条款语义发生冲突、解释不一致，以英文版本文本为准。

This document is published in both Chinese and English. In case of any inconsistency or conflict of interpretation between Chinese-language and English-language text, the English version shall prevail.

十一、条款变更11. Changes to These Terms

平台可不时修订本条款，修订后将在此页面发布并更新"最后更新"日期。您继续使用平台即视为接受修订后的条款。

We may revise these Terms from time to time. Revised versions will be posted on this page with an updated "last updated" date. Your continued use of the platform constitutes acceptance of the revised Terms.
